2.4. Account Responsibility: You are fully responsible for all activities that occur under your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

2.5. Account Termination: We reserve the right to suspend or terminate your account, at our sole discretion, without notice, for conduct that we determine to be in violation of these Terms or otherwise harmful to the Platform, other users, third parties, or our business interests.

2.6. Account Recovery: If you lose access to your account, we provide account recovery options through verified email addresses or phone numbers. To protect your security, we may require additional verification before restoring access.

3. Usage Rules and Restrictions

By using Platform Cladious, you agree to adhere to the following rules and restrictions:

• It must not infringe any copyright, database right, or trademark of any other person
• It must not deceive any person or be used to impersonate any person, or to misrepresent your identity or affiliation with any person

3.4. Fair Usage Policy: While using our Platform, you are expected to maintain reasonable usage patterns. Excessive usage that negatively impacts other users' experience may result in temporary limitations or prioritized access.

3.5. API Usage: If you access our API, you must adhere to our API rate limits and documentation guidelines. Misuse of our API may result in restricted access or termination.

4. Intellectual Property Rights

4.1. Platform Ownership: The Platform and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Platform Cladious and its licensors. The Platform is protected by copyright, trademark, and other intellectual property laws in both the United Kingdom and foreign countries.

4.2. Limited License: Subject to your compliance with these Terms, Platform Cladious grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include:

• The right to resell or commercial use of the Platform or its contents
• Any derivative use of the Platform or its contents
• Any use of data mining, robots, or similar data gathering and extraction tools
• Downloading (other than page caching) any portion of the Platform, except as expressly permitted

4.3. Trademarks: The Platform Cladious name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Platform Cladious or its affiliates or licensors. You may not use such marks without the prior written permission of Platform Cladious.

4.4. User Content: You retain all ownership rights in any content that you post or share through the Platform. By posting content, you grant Platform Cladious a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods now known or later developed.

4.5. Feedback: Any feedback, comments, or suggestions you may provide regarding the Platform is entirely voluntary, and we will be free to use such feedback, comments, or suggestions without any obligation to you.

4.6. Copyright Infringement: If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with the following information:

• A physical or electronic signature of the copyright owner or authorized person
• Identification of the copyrighted work claimed to have been infringed
• Description of where the material is located on the Platform
• Your contact information (address, telephone number, email)
• A statement that you have a good faith belief that the disputed use is not authorized
• A statement, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on their behalf

5. Limitation of Liability

5.1. Disclaimer of Warranties: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. Platform Cladious expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5.2. Service Availability: Platform Cladious does not warrant that:

• The Platform will function uninterrupted, secure, or available at any particular time or location;
• Any errors or defects will be corrected;
• The Platform is free of viruses or other harmful components;
• The results of using the Platform will meet your requirements.

5.3. Limitation of Liability: To the fullest extent permitted by applicable law, in no event will Platform Cladious, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for:

• Any indirect, special, incidental, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses;
• Any damages related to your access to, use of, or inability to access or use the Platform;
• Any content obtained from the Platform;
• Unauthorized access, use, or alteration of your transmissions or content;
• Any other matter relating to the Platform.

5.4. Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain types of damages. Accordingly, some of the above limitations may not apply to you.

6. Modifications to Terms

6.1. Amendments: Platform Cladious reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

6.2. Continued Use: By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Platform.

6.3. Notification of Changes: We will notify users of any material changes to these Terms through a notice on the Platform's home page or by sending an email to the email address specified in your account. For less significant changes, we may only update the Terms as posted on the Platform.

7. Termination

7.1. Termination by You: You may terminate these Terms at any time by deactivating your account and discontinuing use of the Platform.

7.2. Termination by Us: We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

7.3. Effect of Termination: Upon termination, your right to use the Platform will immediately cease. If your account is terminated, we may delete any content or other materials relating to your use of the Platform and we will have no obligation to maintain any such content or materials or to forward any information to you or any third party.

7.4. Survival: All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Indemnification

You agree to defend, indemnify, and hold harmless Platform Cladious, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Platform;
• Your violation of any term of these Terms;
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
• Any claim that your Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Platform.

9. Governing Law and Dispute Resolution

9.1. Governing Law: These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

9.2. Dispute Resolution: Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in London, England, using the English language in accordance with the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services, Inc. ("JAMS") then in effect, by one or more commercial arbitrators with substantial experience in resolving intellectual property and commercial contract disputes.

9.3. Exception for Injunctive Relief: Notwithstanding the foregoing, either party may seek emergency equitable relief before a court of competent jurisdiction in order to protect its intellectual property rights pending the resolution of any arbitral proceeding.

10.1. Data Collection: In providing the Platform, we collect and process personal data from you. We collect this data in accordance with applicable data protection laws.

10.2. Privacy Policy: Our Privacy Policy, which forms part of these Terms, governs our collection and use of your personal information. By using the Platform, you also agree to our Privacy Policy.

12. Miscellaneous

12.1. Entire Agreement: These Terms constitute the entire agreement between you and Platform Cladious regarding our Platform and supersede all prior agreements and understandings, whether written or oral, regarding the Platform.

12.2. Waiver: No waiver by Platform Cladious of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Platform Cladious to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

12.3. Severability: If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

12.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Platform Cladious's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Platform Cladious may freely assign or transfer these Terms without restriction.

12.5. Notices: Any notice required or permitted under these Terms shall be in writing and delivered by email to the email address associated with your account or as otherwise specified by you.

12.6. Force Majeure: Platform Cladious shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
